Legal Advice When You Need It

One of the key issues for small businesses is their need for legal support and advice, but only on an occasional or project basis. I’m therefore very happy to offer legal advice for any business that needs it, on an ad hoc basis. This could be to come in and set up a legal function, including recruitment of legal personnel; advise on a particular issue that you are facing; support your team due to an unexpected increase in workload; or cover legal staff due to absence.

My experience both in-house at major global companies and at a much-respected law firm has given me a breadth of knowledge about commercial law, as well as my IP and IT specialisms. My strength when coming into a new company is that I ensure that I truly understand your business, so that I can offer bespoke legal support and use my commercial acumen and experience to solve problems.

I’d be very happy to join your team at short notice as a safe, experienced pair of hands and hit the ground running. I look forward to discussing what I can do for you.

Some of the types of work I help clients with are:

  • Drafting legal agreements and contracts, including:

    1. Terms of Business for the supply of your goods and/or services

    2. Website Terms of Business, Privacy Policy and Cookie Policy

    3. Services Agreements and other agreements with your suppliers

    4. IT agreements (including SaaS Agreements, ASPs and software licenses)

    5. Introduction Agreements

    6. Consultancy Agreement

    7. NDAs or Confidentiality Agreements

  • Reviewing contracts received from your suppliers and clients where you are required to use the other party’s template. We can help you identify key issues and negotiate it to reduce risks accordingly.

  • Advising on IP / brand protection strategies including how to protect and exploit your IP and methods for preventing other businesses from piggy backing on your brand’s reputation.

  • Advising on data protection matters including drafting your privacy policy, dealing with subject access requests and ensuring your business is compliant with current data protection legislation.

  • "Alexis is a brilliant commercially minded lawyer who has supported me with every legal aspect of setting up a new business. Alexis is able to explain complex legal requirements in plain English and is equally able understand business objectives and complexities quickly, allowing her to then offer the best legal advice. She is diligent, focused, highly skilled, pragmatic and always a pleasure to work with."

Ongoing Legal Support

Often businesses who are involved in a strong phase of growth need legal support on a part-time, yet regular basis. Known as a Fractional GC, senior legal experts often work with companies part-time, providing top level commercial advice to the company where there is no senior legal resource. This becomes a cost-effective option in identifying what needs to be prioritised from a legal perspective and then putting those requirements into place.

I’m very happy to work as a Fractional GC and am keen to hear from companies who would like to utilise my skills on a retained basis. Working several days a week can reap many rewards due to the consistency of involvement in the business. I pride myself on learning and understanding all day-to- day aspects of a company I’m working with, so I can ensure that all legal responsibilities are well taken care of.

Roles undertaken could include advising at senior level on growth plans (including acquisitions and expansions into new territories) and/or exit strategies; drafting all legal contracts and agreements; reviewing and negotiating contracts from suppliers and clients; advising on IP/brand protection strategies; advising on data protection matters and much more.

I’d love to discuss how a retainer for legal services might work for your business.

  • "When Aiviq was set up as a wholly owned subsidiary of Alpha FMC, Alexis provided an incredible level of expertise and support to establish our ASP and other contract templates as well as advice on negotiation strategy and legal risk during the contract negotiation phase with new clients. Alexis was 'always on' when we needed her, witty, positive and energetic. Her legal expertise and briefing of external counsel was exacting, she is adept at seeing the wood distinct from the trees. Most important she always listened carefully to her business partners and has a keen commercial brain. As well as leading on legal points she provided an excellent sounding board for discussions on risk and business value and understands entrepreneurs and the dynamics and risk profile of early stage businesses. As a result her advice on final drafts including creative negotiating strategies and final positions on indemnities, warranties and liabilities was always sound. Aside from her professional expertise, Alexis has a wonderful sense of humour and an ear for an entertaining story which always makes the long calls, late nights that little bit more bearable! I would never hesitate to recommend Alexis to any business - large or small."

Legal Requirements for AI

The EU’s AI Act is a proposed European regulation on artificial intelligence (AI) – the first comprehensive regulation on AI by a major regulator anywhere. The act applies to creators of AI technology, as well as users of AI. Therefore, if you use any AI systems, it is essential that you understand the regulations surrounding its use.

Currently, the UK Government has adopted a cross-sector framework for regulating AI. The framework will not be codified into law for now, but the Government anticipates the need for targeted legislative interventions in the future. It is imperative that companies understand the implications of this framework and upcoming law and are prepared accordingly.

I’m offering a service for businesses to make sure that they are compliant and have their policies and procedures in place. I’ll work with you to understand and audit what AI systems you use and what current or future legal implications might apply to you.

Don’t get caught out by what is being seen as the next GDPR – let’s discuss AI now.
